Talent Terms of Service

By entering my skills on this form which will enable me to receive matches with one or more clients (“CLIENT”), or by accepting this match with a specific client project (“CLIENT”), I (“TALENT”) accept the LD Talent™ (also known as “Learning Dollars Talent”, “Learning Dollars”, and “Learning Dollars Inc." incorporated and registered in Delaware, United States of America) Terms of Service including the following clauses:

TALENT will be introduced to CLIENT
1. in a project channel, designated by [client project id #]-[client project name] inside the LD Talent™ Slack organization.
2. or in an interview channel, designated by [ldi]-[concatenation of substrings of client and talent names] inside the LD Talent™ Slack organization.
3. TALENT will communicate with CLIENT only in the project / interview Slack channel provided by LD Talent and no other channel, direct message, or communication method external to the LD Talent Slack organization.
4. If CLIENT initiates communication with TALENT outside the project / interview Slack channel provided by LD Talent (such as in another channel, direct message, or another communication method external to the LD Talent Slack organization), then TALENT must respond to CLIENT's requests in the project / interview Slack channel only, adding context in the project / interview Slack channel as needed.
5. CLIENT will not invite TALENT (or other talent or clients part of the LD Talent Slack organization) to any competing platform to LD Talent or engage in verbal, text-based, or other digital communication with TALENT on any competing platform to LD Talent including but not limited to those listed on topfreelancingsites.com or those started by CLIENT themselves.
If hired or tried by CLIENT, TALENT will post in the CLIENT's project Slack channel [30-m work session] where they describe what exactly they have accomplished in that 30 minutes. Only if CLIENT approves TALENT's work sessions, TALENT will be paid by LD Talent after 3-7 days (via PayPal or Upwork payment systems) for such Slack-based work sessions and no other claimed or indicated work. Any given work session may be subject to dispute by CLIENT or LD Talent if project guidelines or norms or expectations (specified by CLIENT or LD Talent to TALENT) were not respected.
1. TALENT will respect CLIENT's or LD Talent's stated or implied limitations with regard to the number of work sessions to track on a given feature or assignment.
TALENT has read, acknowledges, accepts, and agrees to comply by the HR Guide and Talent Position Requirements.
1. including policies and guidelines regarding time off, sick days, holidays, vacation
2. including policies and guidelines regarding responsiveness with CLIENT and check-in times in Slack
3. including policies and guidelines regarding payments and taxes
TALENT will not work with CLIENT outside of the LD Talent framework and Slack organization, or receive direct payment from CLIENT unless explicitly referred and permitted by LD Talent. Violation of this policy makes TALENT subject to domestic or international lawsuit(s) by and expulsion from LD Talent™ (also known as “Learning Dollars Talent”, “Learning Dollars”, and “Learning Dollars Inc.").
LD Talent is a network that maximizes probability of CLIENT-TALENT match success. However, LD Talent cannot guarantee success of match or reliability, responsiveness, quality, interest, or legitimacy of CLIENT. TALENT is responsible for gauging each CLIENT match independently.
TALENT acknowledges responsibility for checking LD Talent Slack frequently. TALENT is recommended to check Slack (on Mobile or Desktop) daily or more.
TALENT acknowledges that TALENT is compensated for their time when work sessions are approved by both CLIENT and LD Talent. Free trials are offered by LD Talent, in which LD Talent bears the cost of work payments
TALENT acknowledges that LD Talent is not legally liable for any occurrences, conflicts, violations, breaches, disagreements, legal disputes between TALENT and CLIENT. It is the responsibility of TALENT to sign and have signed any required legal documents provided by or recommended by CLIENT at the commencement of the project. LD Talent cannot guarantee retention of Slack messages and files. They are ephemeral.
LD Talent will not be liable for the actions of either TALENT or CLIENT on the platform regardless of other agreements signed between the CLIENT, LD Talent, or TALENT.
TALENT grant LD Talent the right to indefinitely share any testimonials provided by TALENT or metadata about TALENT (including but not limited to names of TALENT; skills possessed by TALENT; industry and market of TALENT; associated projects of TALENT; full details and contents of github, blog or other projects completed by TALENT; photo(s) of TALENT or artifacts created by TALENT; communication by TALENT in the LD Talent Slack organization) provided by TALENT to LD Talent administrators (in sales phone calls, email communication, google.com feedback form filled, ldtalentwork.com forms filled, or 'lde' or other Slack channel communication) on LD Talent's websites, blogs, social media, or other dissemination mechanisms.
All intellectual property (IP) related to the project is property of the CLIENT, not the TALENT hired.
TALENT has read, understood, and accepted the Talent FAQ document of tips and guidelines for engineering network use-case success. No client cash / equity referral payments, except those mentioned in the FAQ, are ever due.
TALENT has read, understood, and accepted the Site TOS, the Privacy Policy, and the Client TOS as well.
